Terms and Conditions for Trisys Software LLC

These Terms and Conditions ("Terms") govern your access to and use of the Trisys Software LLC website(s), including trisysit.com, and any related services, software, consulting, or digital solutions (collectively, the "Services") provided by Trisys Software LLC ("Trisys," "we," "us," or "our"). Services are offered exclusively to clients and users in the United States. By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services. These Terms form a binding legal agreement.

1. Eligibility and Use

  • You must be at least 18 years old (or the age of majority in your jurisdiction) and a U.S. resident or entity. Services are for business/commercial use primarily. You agree to use Services only for lawful purposes and in compliance with all applicable U.S. laws.

2. Accounts and Registration

  • Certain features require an account. You are responsible for accurate information, maintaining confidentiality of credentials, and all activities under your account. Notify us immediately of unauthorized use.

3. Services and Intellectual Property

  • We grant a limited, non-exclusive, non-transferable license to use the Services as intended during the term.
  • All content, software, designs, logos, and materials are owned by Trisys or licensors. You receive no ownership rights.
  • You grant us a license to use any content or data you upload/submit as needed to provide Services.
  • Custom development deliverables: Ownership transfers per separate agreement; otherwise, we retain IP.

4. Fees, Payments, and Subscriptions

  • Fees are as quoted or in separate agreements/orders. Payments due as specified; late fees may apply. We may suspend access for non-payment. All fees non-refundable unless stated. Taxes are your responsibility.

5. Acceptable Use

  • Prohibited: Illegal activities, infringing IP, transmitting malware, reverse engineering, interfering with Services, or using for competitive purposes. We may monitor and remove violating content.

6. Disclaimers and Warranties

  • Services provided "AS IS" and "AS AVAILABLE." We disclaim all warranties (express/implied), including merchantability, fitness for purpose, or non-infringement. No guarantee of uninterrupted service, error-free operation, or specific results. IT services outcomes depend on many factors.

7. Limitation of Liability

  • To the fullest extent permitted by law, Trisys and affiliates are not liable for indirect, incidental, consequential, punitive, or special damages (including lost profits, data loss). Total liability shall not exceed amounts paid by you in the 12 months preceding the claim (or $100 if none). Some states do not allow certain limitations, so they may not apply.

8. Indemnification

  • You agree to indemnify and hold us harmless from claims, losses, or damages arising from your use of Services, violation of these Terms, or infringement by your content/data.

9. Termination

  • We may terminate or suspend access at any time for violation or other reasons. You may stop using Services. Provisions surviving termination: IP, disclaimers, liability, indemnification, governing law.

10. Privacy

  • Your use is also governed by our Privacy Policy, incorporated herein.

11. Changes to Terms

  • We may update Terms; continued use after posting constitutes acceptance. Material changes notified.

12. Miscellaneous

  • Severability, no waiver unless written.
  • No agency/partnership created.
  • Force majeure.
  • Entire agreement (supersedes prior; separate service agreements prevail where conflicting).
